To avoid the chaos of having years of European Union laws just disappear, the Withdrawal Bill would convert them into British law when Brexit happens.
After more than 13 hours of speeches for and against the legislation, which May says is essential for Brexit but critics describe as a Conservative government power grab, lawmakers voted 326 to 290 in favour of moving the European Union withdrawal bill, or repeal bill, to the next stage of a lengthy lawmaking process.
The government has promised concerned lawmakers that ministers would not use the wide-ranging powers to make "substantive changes" to law and some have said they will seek changes to the bill at later stages.
Critics have also accused May of trying to expand executive powers with a landmark bill to transfer European Union law into British legislation.
The prime minister's Conservative colleagues have warned her that their support for the Bill was not unconditional and demanded several amendments to it.
But critics of Brexit say this means giving them unprecedented powers without scrutiny, branding the measures "Henry VIII clauses" in reference to the 16th century Tudor monarch.
Overnight, May had claimed a significant Brexit victory after the votes and abstentions of more than a dozen Labour MPs helped her attain a majority of 36.
Each Thursday all members of Parliament are given a whip for the following week and are told which debates are happening and which legislation is going through the Commons.
Labour and the Liberal Democrats claim that the bill gives the Government too much power to change laws by decree and amounts to a "power grab" that will weaken Parliament.
This first Commons win is a welcome boost for the Prime Minister after Britain endured a hard start to negotiations with Brussels, highlighted by last week's frosty encounter between Davis and his European counterpart, Michel Barnier.
Justice Secretary David Lidington said the Government was "willing to consider" extending the time allocated to debate the Bill at committee stage. If the government compromises on the Henry VIII powers, the most unsafe amendments concern the nature of a post-Brexit transitional arrangement.
Scotland's Brexit Secretary has claimed Holyrood stands to lose more than 100 parliamentary powers if the repeal bill is passed.
No Conservatives voted against it, but seven Labour MPs defied Jeremy Corbyn's order to oppose the bill.
The devolution settlement is based on the principle that everything is devolved to the Scottish Parliament unless it is reserved to Westminster.
